AGC Conference - Planning your 2023 AGM and reporting agenda

    The Ashurst Governance and Compliance Team were delighted to host our second AGC Conference – Planning your 2023 AGM and reporting agenda which was held at our London office as an 'in person' attendance event.

    The AGC Team and guest speakers from the Financial Reporting Council and corporate communications and reporting experts, Falcon Windsor explored governance and compliance developments to prioritise when planning your AGM and reporting in 2023.

    Sustainability disclosures

    Sustainability disclosures have exploded in the market, largely as a result of European legislation which often mandates standardised templates and reports. New UK rules (which diverge from the EU requirements) add to this complexity. The result is a deluge of ESG data which is expected from corporates and relied on by investors. This can create both risks and opportunities and Ashurst Finance Regulatory Partner Lorraine Johnston will walk through that ESG regulatory data lifecycle.

    Now that the first climate-related financial disclosures have been made by UK premium listed corporates under the FCA's Listing Rules, as part of this session, Eleanor Reeves who heads up Ashurst's Environment & Safety team and Claire Bodanis from Falcon Windsor, will take stock of the FRC and FCA's reviews of the first TCFD disclosures and provide practical advice on how to manage the disclosure of sustainability risks and opportunities and improve your disclosures next year. Ashurst Dispute Resolution Partner Tom Cummins will then comment on the potential legal liabilities arising from sustainability disclosures (or non-disclosures).

    Governance, reporting and AGMs in 2023

    Ashurst Corporate Governance Partner, Will Chalk, will provide an update on recent and prospective changes to legislation, regulation and guidance, particularly that affecting your 2023 annual report. He will also look ahead to the 2023 AGM season. He will be joined by Maureen Beresford, Head of Corporate Governance at the Financial Reporting Council, who will set out the headline findings of the FRC's latest review of governance reporting and its expectations for 2023 along with information on how the review of the UK Corporate Governance Code will be taken forward over the coming months.
